Filing of the Day¶
OVERVIEW¶
SEC's EDGAR publishes thousands of filings a day. Most are noise — cover pages, 13F position shuffles, routine Form 4s. Tapeboard picks the one that moved today's world and puts it at the top of the Filings page with a plain-English why-it-matters line.
Location
Navigate to MARKETS → FILINGS in the sidebar, or go directly to /filings. The Filing of the Day card always renders at the top of the page when logged in. The dedicated daily view is also available at /filings/today.
WHAT IT IS¶
A single highlighted card, visually distinct from the chronological filings list below it. The card surfaces:
| Card Element | Description |
|---|---|
| Form type chip | 10-K / 8-K / S-1 / 13D / Form 4 etc. |
| Issuer + ticker | Company name and exchange symbol |
| Filing date | Date the document was submitted to EDGAR |
| Why-this-matters summary | One-paragraph plain-English description of what the filing says — no editorial interpretation |
| Deep-link | One-tap link to the full EDGAR HTML or PDF document |
SELECTION ALGORITHM¶
The Filing of the Day is scored and ranked using five weighted signals:
| Signal | Weight | Rationale |
|---|---|---|
| Form type materiality | 40% | 10-K > S-1 > 8-K with MA language > 13D > Form 4 > 8-K (other). A 10-K auto-beats any number of routine 8-Ks. |
| News co-occurrence | 25% | Same ticker appearing in the News Surface headline feed within a 4-hour window. High news count co-occurring with a filing raises the materiality decision rate. |
| Issuer market cap | 20% | Rough relevance proxy — a $50B company's 10-K moves more portfolios than a $200M micro-cap's. Buffered so a small high-materiality 8-K can still outrank a larger issuer's routine filing. |
| Recency (last 24h) | 10% | A 16-hour-old filing beats a 24-hour-old when all other factors are tied. |
| Financial media reference count | 5% | Number of Reuters, Bloomberg, and WSJ references to the ticker on the same day. Distinct from news co-occurrence, which measures the Tapeboard feed; this measures third-party editorial. |
Algorithm transparency
The full internal ranking formula is not published. The algorithm prioritises form-type materiality, news co-occurrence, and large-cap concentration — in that order.
ONE-TAP DRILL¶
Click the Filing of the Day card to open the filing inside Tapeboard's document viewer. The drill panel includes:
| Drill Element | What It Shows |
|---|---|
| Financial highlights table | Revenue, gross margin, OpEx as % of revenue, net income — extracted automatically |
| Citation links | Links to the most-shared news coverage of the filing |
| Form-type subject-hint lane | Form 4: the specific insider transaction. 13D: activist position-size shift. S-1: IPO timeline and price-discovery question. |
CROSS-REFERENCES¶
| Badge / Link | Trigger Condition |
|---|---|
| Ticker pill → Research page | Always present; links to /research/:symbol for the filing issuer |
| Squeeze Scanner badge | Appears if the ticker is a top-50 squeeze candidate. An 8-K with MA language on a top squeeze setup is a textbook squeeze ignition kernel. |
| Insider activity badge | Appears if the same ticker has insider buys recorded within the prior 5 days |
HOW TO USE¶
Morning routine (4–8 AM ET)¶
- Open
/filingsfrom the MARKETS sidebar. - Read the Filing of the Day summary paragraph — covers the most material overnight EDGAR news in approximately 30 seconds.
- If the filing is a 10-K: skip the risk factors section, scan the financial highlights table and MD&A as directed by the summary.
- If the filing is an 8-K with M&A language: the summary flags the specific section number to jump to.
Mid-session check¶
Refresh the Filings page after midday. The Filing of the Day carries forward if no higher-materiality filing has dropped in the new session.
Cross-reference workflow¶
- Note the ticker on the Filing of the Day card.
- Check whether the Squeeze Scanner badge is present on the card.
- If an 8-K with Material Definitive Agreement language coincides with a top squeeze setup, treat the combination as a potential ignition signal before acting.
PRO TIPS¶
Don't skip 13Ds
A large equity shop disclosing a new 4%+ position in a small-cap via a 13D is a signal you should never miss. The Filing of the Day algorithm can deprioritise these. Scan the chronological filings list manually once a week and filter for new 13D submissions.
8-K Item 1.01 + top squeeze ticker = high-priority alert
Item 1.01 on an 8-K means the company signed a contract material enough to require SEC disclosure. The Squeeze Scanner score alone cannot surface this context. Cross-check both before consuming.
Read the summary first
The why-this-matters paragraph is a single paragraph, not a 200-page MD&A. Read it before opening the drill panel. The drill button is immediately accessible if you need the underlying document.
